Qted terms and conditions.
These terms govern access to and use of Qted services by tradespeople, business users, and website visitors.

1. Introduction and Acceptance
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Spykra Technologies UK Ltd ("Qted", "we", "us", or "our"), regarding your use of the Qted website, mobile applications, and any related services (collectively, the "Platform").
By accessing the Platform, creating an account, or purchasing a subscription, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease using the Platform.
2. Eligibility and Account Registration
The Platform is intended for professional tradespeople and business entities operating in the United Kingdom. You must be at least 18 years of age to create an account. You represent that the information provided during registration is accurate, current, and complete. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account, including third-party authentication via Google, Apple, or Meta.
3. Trade Accreditations and the Gas Safe Register
Qted provides tools for tradespeople to display their credentials to potential customers. This includes, but is not limited to, Gas Safe registration numbers.
- User-Generated Content: All accreditation details, license numbers, and professional memberships are uploaded and managed entirely by the User. Qted does not verify, validate, or audit these claims.
- Mandatory Customer Verification: Customers and visitors are explicitly informed that Qted is not a vetting service. You MUST independently verify a tradesperson's current registration on the official Gas Safe Register before engaging them for gas-related work. Please visit https://www.gassaferegister.co.uk/ and enter the registration number provided.
- No Warranty: Qted makes no warranties, express or implied, regarding the trade status, competence, or legal standing of any User on the Platform. We are not liable for any injury, loss, or damage resulting from work performed by a tradesperson who has misrepresented their credentials on the Platform.
4. AI-Powered Services and Quote Generation
The Platform utilizes Artificial Intelligence (AI), including technologies from OpenAI, to assist in transcribing voice notes and generating structured quotes.
- Nature of Output: AI-generated content is provided as a draft only. It may contain errors in transcription, arithmetic, or technical terminology.
- Final Review: The tradesperson has the absolute duty to review, edit, and approve every quote before it is issued to a customer. Sending a quote via the Platform constitutes your final acceptance of its contents.
- Calculations: While the Platform supports VAT and CIS (Construction Industry Scheme) calculations, you are responsible for ensuring that the correct tax rates and rules are applied according to current HMRC guidance.
5. Payments and Stripe Connect
Financial transactions on Qted are powered by Stripe. By using our payment features, you agree to the Stripe Connected Account Agreement.
- Transaction Role: Qted is a technology provider, not a payment processor or bank. We facilitate the flow of data but do not hold, control, or escrow funds.
- Disputes and Refunds: Any disputes, chargebacks, or refund requests are strictly between the tradesperson and the customer. Qted has no obligation to mediate financial disputes.
- Fees: We deduct a platform fee for each transaction processed. These fees are non-refundable.
6. Communications and Third-Party Integrations
Our Platform integrates with Meta (WhatsApp), Twilio (SMS), and Postmark (Email) to deliver notifications.
- Compliance: You must ensure that you have obtained the necessary legal consent from your customers (data subjects) before triggering any automated notifications through the Platform.
- Service Availability: We do not guarantee the delivery or timing of messages, as these depend on third-party networks and carrier availability.
- Prohibited Use: You may not use the Platform's communication tools for marketing purposes unless you have explicit, opt-in consent from the recipient.
7. Subscription Billing, Trials, and Cancellations
- Subscription Plans: Access to certain features is subject to a recurring subscription fee. Fees are billed in advance on a monthly or yearly basis.
- Free Trials: If offered, free trials are intended to allow you to evaluate the Platform. At the end of the trial, your payment method will be charged automatically unless you cancel beforehand.
- Cancellation Policy: You can cancel your subscription at any time through the Billing section of your dashboard. Cancellation prevents the next scheduled renewal. We do not provide pro-rated refunds for unused portions of a billing cycle.
- Price Changes: We reserve the right to change our subscription fees upon 30 days' notice.
8. Data Usage and Intellectual Property
- Your Data: You retain all ownership rights to the content you upload (photos, customer lists, job details). You grant us a non-exclusive, worldwide, royalty-free license to host, store, and process this data to provide the Platform services.
- Platform IP: All software, designs, algorithms, and AI configurations are the exclusive property of Spykra Technologies UK Ltd. You may not copy, modify, or reverse engineer any part of the Platform.
9. Acceptable Use and Platform Integrity
You agree not to:
- Use the Platform for any fraudulent or illegal purposes.
- Impersonate any person or entity or falsely state your affiliation with a person or entity.
- Interfere with or disrupt the operation of the Platform or the servers or networks used to make the Platform available.
- Transmit any virus, worm, Trojan horse, or other harmful code.
- Attempt to gain unauthorized access to any part of the Platform or other User accounts.
10. Limitation of Liability and Indemnity
To the maximum extent permitted by law, Spykra Technologies UK Ltd shall not be liable for any indirect, incidental, special, exemplary, or consequential damages. Our total liability for any claim shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Platform, your breach of these Terms, or your interactions with customers.
11. Modifications to the Platform and Terms
We are constantly improving the Platform and may add or remove features at any time. We may also update these Terms. If we make material changes, we will notify you through the Platform or via email. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
